Specific services, deliverables, timelines, and fees are set forth in separate engagement agreements between PJD INVESTMENTS and each Client.
The information presented on the Site is provided for general informational purposes only and does not constitute an offer to provide services, a recommendation, or professional advice.
The Site and its entire contents, features, and functionality, including but not limited to text, graphics, logos, icons, images, data compilations, and software, are owned by PJD INVESTMENTS, LLC, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Where Services are provided, all fees, expenses, and payment terms shall be as set forth in the applicable engagement agreement between PJD INVESTMENTS and the Client. Unless otherwise agreed in writing, fees are quoted in U.S. dollars and are exclusive of any applicable taxes, which shall be the responsibility of the Client.
Invoices are payable within the time period specified in the applicable agreement. Late payments may be subject to interest charges at the maximum rate permitted by law. PJD INVESTMENTS reserves the right to suspend or terminate Services for any unpaid amounts that are past due.
PJD INVESTMENTS is committed to maintaining the confidentiality of all information shared with us by Clients, partners, and other parties in connection with our Services. We treat all proprietary and business information with the utmost discretion and in accordance with our Privacy Policy and applicable law.
You acknowledge that the nature of systems design and consulting engagements requires the exchange of sensitive information, and you agree to hold in confidence any confidential information disclosed to you in connection with our Services.
The Site is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
PJD INVESTMENTS does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.
To the fullest extent permitted by law, PJD INVESTMENTS disclaims all warranties, express or implied, in connection with the Site and your use thereof.
To the fullest extent permitted by applicable law, in no event shall PJD INVESTMENTS, LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Site.

PJD INVESTMENTS reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with PJD INVESTMENTS in asserting any available defenses.
These Terms are effective as of the date you first access or use the Site and remain in effect until terminated. We may terminate or suspend your access to the Site, in whole or in part, at any time and for any reason, with or without notice, including if we believe you have violated these Terms.
Upon termination, your right to use the Site will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive termination.
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions, and applicable federal laws of the United States of America.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the party’s reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemic or epidemic, government actions, power failures, internet or telecommunications outages, or failure of third-party suppliers or service providers.
The affected party shall use reasonable efforts to mitigate the effects of any such event and to resume performance as soon as practicable. This section shall not apply to any obligation to pay amounts due and owing.
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and PJD INVESTMENTS, LLC regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
